1.0 Terms of this Agreement

Welcome to Language Bite. Before viewing our website or using our service as a registered online learner we advise you read the follwing Terms and Conditions carefully and know your rights and responsiblities. By visiting languagebite.com website (hereafter "Language Bite") or by subscribing to our online language learning service you agree to the Terms and Conditions of this agreement and to such changes as may be made from time to time to these terms. The current Terms and Conditions of use and access of your agreement are displayed on the www.languagebite.com website. If you use the site you agree to be bound by them.

Language Bite means all companies, trusts, partnerships and websites in the Language Bite group and all brands or operating companies and trusts controlled by or associated with those entities.

2.0 Protection of Intellectual Property

All content on the Language Bite site is protected by intellectual property rights (copyrights, trademarks or other rights and laws). You may view the site and its contents using your web browser and download only one copy of the daily summary text file of lessons and one copy of the daily audio file solely for your own personal non-commerical use as long as you respect all intellectual property notices. Any other use including the reproduction, modificiation, distribution, transmission, republication, display or performance of the contents of the site is strictly prohibited. Under no circumstances may you ever copy, display, transmit or download any of the online video lessons or content. Any commericial use of Language Bite's content or services without the prior written consent of Language Bite is strictly prohibitied. If you breach these Terms and Conditions in any way you agree to fully reimburse Language Bite for any potential losses, damages, legal costs or any other costs associated with the breach

The use of this website and these conditions shall be goverened by and construed in accordance with the laws of New Zealand. Any legal action arising out of its use shall be brought and enforced under the laws of New Zealand. By using this site, you agree to submit to the non-exclusive jurisdiction of the courts of New Zealand.

2.1 Membership

By joining Language Bite and becoming a registered learner you agree:

(a) that your right as a Language Bite registered internet learner is a non-transferable and non-exclusive, limited to access and use of the contents and services. You will be the sole and only person to view the Language Bite lessons and downloadable material through your personal username and password sign on;

(b) that the information you have provided is true, accurate, current and correct;

(c) to maintain and keep that information up to date by notifying Language Bite of any changes. In case you may not recieve any notice of the changes of this site or you may get any loss due to wrong or inaccurate personal information, it is totally your responsiblity;

(d) to not disclose to any other person your password and other login information and that you will take full and personal responsibility for any activity which occurs in respect of your account (whether or not you have disclosed your login information to any other person);

(e) that in the event that you suspect that your membership account has been or might be interfered with, without your authority, you will notify Language Bite and change your password immediately.

(f) that any notice or other communication to you may be by email to your email address as notified to us. Notices will be deemed served once they have been sent from Language Bite's mail server irrespective of whether the email is recieved;

(g) that information about you which we obtain through your use of Language Bite is subject to our Privacy Policy which you may view on the Language Bite website.

(h) that you have registered using your true legal identity and have not previosly operated a separate Language Bite account;

(i) to pay for the charges for access, use and connection to the online courses of Language Bite in advance;

(j) that it is your own decision to use the site. Language Bite cannot and will not be resposnible for any loss resulted from your use of any service, learning, materials, content, text file, voice and other communications in Language Bite;

(k) that completing a payment transaction of any online course subscription or product purchase provided in Language Bite means your total understanding of product purchase provided in Language Bite means your total understanding of the product and service to be recieved. You agree to accept the Terms and Conditions listed in this "Terms and Conditions of Use and Access'';

(l) your right as a Language Bite registered learner is a non-transferable and non-exclusive, limited to access and use of the contents and services, Some educational content or community functionalities are available only through the purchase of courses or subscriptions or by becoming a registered learner of Language Bite;

(m) that all transactions initiated within Language Bite will be settled using US Dollars (USD). Exchange rates used in currency conversion will be based on the Bank, Credit Card Company or Paypal exchange rates on the date of the transaction.

2.2 Getting Started

Once you have completed your registration and payment process and registered as a member your membership will become active on the following working day. a 'working day' is defined as Monday, Tuesday, Wednesday, Thursday or Friday of any week. Language Bite , at its sole discretion, may send you a confirmation email welcoming you to the service, confirming payment and explaining what will happen next.

2.3 Members' Reviews and Communication

Language Bite may at its sole discretion permit members to post reviews on its website and submit suggestions, ideas, comments, questions or other information and/or communicate with other members in a designated chat room. Members may not submit content which is, or might be construed to be illegal, obscene, threatening, defamatory, an invasion of privacy, infringing any other person's intellectual property rights or otherwise injurious to third partites, or objectionable. Language Bite reserves the right (but not the obligation) to remove or edit such content.

2.4 Use of Members' Material

Any opinions, advice, statements, or other information submitted by members on the Language Bite website are those of the respective authors and not of Language Bite. Language Bite will not be held liable for any loss or damage caused by the reliance by any person on information obtained through the Language Bite website. If you review or submit material to Language Bite, you grant it a non-exclusive, royalty free, perpetual, irreovacble, and fully sublicensable right to use, reproduce, modify or improve the Language Bite website.

3.0 What Language Bite Provides

Language Bite endeavours to provide high quality and useful language courses for beginners in simple, easy to understand online video lessons. Language Bite will also provide a downloadable sound-bite that memebers can use to practice their pronunciation and a downloadable summary will also be available for members to study and revise what they have learnt from the online video lessons. These downloads are available for registered members only and accessed via the download buttons on the video lesson page.

While Language Bite will make every effort to make sure all of these facilities, lessons, downloads, and videos are available at all times, it is the member's responsiblilty to ensure they have the suitable and compatible computer, software and internet equipment capable of viewing the video lessons and downloading the sound-bites and summary files. If the site is unavailable for a length of time due to technical or unforeseen circumstances Language Bite may, in it sole discretion, choose to refund members on a pro rata basis depending on course content already viewed.

4.0 Site Content

Members use the site at their own risk. The site may not always be available for, for example during maintenance and repair. Language Bite endeavours to make sure that the content of the site is correct, but it is provided 'as is' and 'as available' without warrantees of any kind (either expressed or implied).

You agree that Language Bite will not be liable for your reliance on any information on the site (even if negligently provided). Ypu also agree that Language Bite will not be liable for any damages (direct, incidental, special, consequential, indirect or punitive) resulting from the use of (or inablilty to use) the site. You agree that if we are held responsible for any damage or loss, Language Bite's total liablity to you for all damages, losses, and causes of action (whether in contract, tort - including but not limited to negligence - or otherwise) will not exceed the amount paid by you, if any, for accessing the site. If you breach these terms in any way you agree to keep Language Bite fully indemnified against all consequences of your breach.

While we endeavour to keep information and materials on the site secure and confidential, we are not responsible for any breach of security which is out of our control. We do not warrant that the site is completely secure.

5.0 Suspension or Cancellation of Membership

(a) You are unable to cancel your Language Bite subscription once you have joined and paid your subscription fee. You may discontinue the course and choose not to participate in future courses but Language Bite will not refund any fees paid in advance for lessons. However, Language Bite, in it sole discretion may choose to refund members if course content is unavilable for a period of time due to technical reasons or unforseen circumstances. Refunds would be made on a pro rate basis depending on the number of lessons available before any technical difficulty. (b) Language Bite may at any time cancel or suspend your membership with effect from your next subscription payment day.

(c) If the information provided by you to Language Bite is untrue and inaccurate, not current or incomplete, or if you are otherwise in breach of the Terms and Conditions of this agreement, Language Bite may at any time cancel or suspend your membership with immediate effect, and refuse any and all current and future use of the Language Bite service. In that event you will not be entitled to a refund of any part of your pre paid subscription.

6.0 Disclaimers

Linked websites are not under the control of Language Bite and we are not responsible for the conduct of companies linked to our website. Those links are provided for convenience only and may not remain current or be maintained, Links to those wbesites should not be construed as an endorsement, approval, recommendation or preference by us of the owners or operators of the sites or of any information, products or services referred to on those other sites unless specifically stated.
